Advising Anheuser-Busch InBev, the world’s largest brewer and owner of the Budweiser, Stella Artois and Corona brands, on its acquisition of SABMiller, the world’s second largest brewer and owner of the Peroni, Grolsch, Pilsner and Castle brands.
The transaction values SABMiller at approximately £71bn. The offer was pre-conditional on regulatory clearances in the United States, the EU, China and South Africa, and required antitrust filings and clearances across the globe. The acquisition created one of the world’s largest consumer goods companies by revenue and EBITDA. On completion, it was the largest-ever takeover of a London-listed company.
Advising Jimmy Choo on a dispute with one of the company’s co-founders and former owners, Tamara Mellon. The claim, brought in New York, is receiving a great deal of attention in the press and fashion industry.
Advising New York-listed Fortune 500 Sysco on its approximately $3.1bn acquisition of European foodservice distributor Brakes Group from Bain Capital, a private equity firm.
The deal was subject to regulatory review by the EU competition authorities and is the largest transaction that our international M&A team has handled for Sysco.
Advising Coty on its $12.5bn offer for Procter & Gamble’s fine fragrance, color cosmetics and hair color businesses, cleared unconditionally at Phase I by the European Commission.
Advising Tesco on multiple transactions
Its £3.7 billion merger with Booker Group, to create the UK’s leading food business; the £4.2bn sale of its Korean business, Homeplus and on the sale of its 95.5 per cent controlling stake in Kipa, its supermarket business in Turkey to Migros.
