Our panelists will discuss the new EU Foreign Subsidies Regulation and its potential impact on acquisitions involving targets with significant business in the EU, developments in the CFIUS regime and CFIUS enforcement efforts, the recent executive order (commonly referred to as “Reverse CFIUS”) regulating certain outbound investment into China, and the latest developments on the antitrust front, including the proposed revised HSR rules and the proposed new US horizontal merger guidelines.
Our panelists will discuss the current regulatory climate and how these developments are impacting deal appetite, negotiations and terms, including regulatory risk allocation in M&A Agreements.
We are thrilled to be joined by Jenny Hochenberg, partner at Freshfields Bruckhaus Deringer who is co-chairing the event, Aimen Mir, head of the CFIUS practice at Freshfields Bruckhaus Deringer, Holden Brooks, a partner in the Antitrust, Trade and Commercial Litigation practice at McGuire Woods and former Deputy Assistant Secretary of Investment Security at the US Department of the Treasury, Giorgio Motta, a Brussels-based partner in Skadden’s Antitrust/Competition practice and Raaj Narayan, a partner in the corporate department at Wachtell, Lipton, Rosen and Katz.
Additionally, Freshfields counsel Vinita Sithapathy joined a panel hosted by the M&A Jurisprudence Subcommittee on September 7, 2023, on a panel discussing recent developments in M&A case law, specifically Delaware case law with an impact on M&A practice. The M&A Jurisprudence Subcommittee is chaired by Nathaniel Cartmell, Senior Counsel, Pillsbury Winthrop Shaw Pittman and co-chaired by Nick Mozal, Counsel, Potter Anderson & Corroon LLP.
