The “Acquisitions of Public Companies” panel will discuss the impact of ESG activism on M&A transactions and how ESG matters impact dealmaking. The panel will discuss ESG as catalyst for M&A, ESG matters during the M&A process, how ESG impacts integrating acquired businesses and how/whether the institutional investor mindset has changed towards ESG. Jenny will be joined by:

  • Allison Bennington, Partner, Global Head of ESG and Chairman of the Activist Defense Practice at PJT Partners
  • Sean Donahue, Partner and Chair of the Public Company Advisory Practice and Co-Chair of the ESG & Impact Practice at Goodwin

The “Developments in Antitrust Enforcement” panel will discuss practical considerations companies should keep in mind when evaluating M&A opportunities in the evolving antitrust merger enforcement environment, and highlight ways in which companies are already responding to the increasing uncertainty and new risks faced by dealmakers. The panel will also discuss recent developments in DOJ and FTC litigation, merger remedies, private equity acquisitions, and expected revisions to the US agencies’ merger guidelines, as well as spotlight trends and developments in Canada and other foreign jurisdictions. Jenny will be joined by, among others:

  • Daniel Zach, Partner at Cravath and former Assistant Director of the Federal Trade Commission
