About Olivia Rosen

Olivia Rosen advises technology and life sciences companies on the latest questions of US securities compliance and corporate law, with particular focus on Delaware law. 

Olivia specializes in securities and shareholder disputes, merger litigation, and regulatory investigations. Her experience includes high-value securities class actions, shareholder derivative lawsuits, and books and records demands.

While in law school, Olivia worked for the Cornell-India Law Center and was an editor of the Cornell International Law Journal.  Prior to attending Cornell Law, Olivia was based in New Delhi as a researcher for the U.S. Holocaust Memorial Museum. In her spare time, she likes running and playing racquet sports.

Recent work

Technology:

  • Defended Mandiant and its board in the Delaware Court of Chancery against Section 271 action alleging a sale of substantially all assets and breach of fiduciary duty.
  • Represented Alphabet and its officers and directors in a shareholder derivative lawsuit in the California Court of Appeals related to $9 billion in fines imposed by the European Commission in connection with alleged antitrust activity.
  • Represented former SEC Commissioner Professor Joseph Grundfest as amicus curiae before the US Supreme Court in Slack Technologies, Inc. v. Pirani, a case about whether purchasers of shares in a direct listing have standing under Section 11 of the Securities Act.

Electric Vehicle Industry: 

  • Obtained voluntary dismissal in favor of Rivian and its officers and directors in two shareholder derivative lawsuits brought in federal courts in connection with its initial public offering; represented Rivian in a securities class action in federal court.
  • Defended an electric vehicle manufacturer in an SEC investigation, prompting the SEC to close the investigation with no further action.

Life Sciences: 

  • Represented cutting edge cell-based product manufacturer in connection with cyber attack and unauthorized issuance of securities.
